ONLINE PURCHASE RESERVATION

Terra Sol, LLC ("Seller") intends to subdivide and sell residences in The Cottages at Terra Sol, lots in The Hammock, and RV sites in The Grove within The Links at Terra Sol in separate subdivisions to be known as Terra Sol Resort.

This is to certify that:

("Preferred Purchaser")

wishes to obtain a Purchase Reservation, and Seller(s) wishes to grant Preferred Purchaser certain privileges subject to the following terms and conditions:

1. Deposit: Preferred Purchaser has executed and delivered this Purchase Reservation to Seller with an amount of ONE THOUSAND THIRTY DOLLARS USD ($1,030.00 USD), which includes a Thirty Dollar USD ($30.00) non-refundable processing fee, for a residence in The Cottages, a lot in The Hammock or an RV site in The Grove (the $1000.00 “Refundable Deposit") to be deposited in a no-interest bearing escrow account held by Terra Sol Resorts, Arcadia, Florida. If Preferred Purchaser submits more than one Purchase Reservation, the foregoing deposit shall be required for each Purchase Reservation submitted. A maximum of two purchase reservations per household is permitted. The refundable deposit shall be returned to Preferred Purchaser at any time, upon the written request by Preferred Purchaser.


2. Selection: There are five selections from which to choose. You must indicate by checking the appropriate box below which type of unit you wish to reserve. If more than one unit is desired, please send in a separate Purchase Reservation form (maximum of two per household).

Provided the Refundable Deposit has not been returned, and this Purchase Reservation has not been terminated, Preferred Purchaser will be given the opportunity, upon the terms and conditions specified by Seller, to participate in a selection process and reserve the right to purchase a cottage, a lot or RV site. All Purchase Reservations are accepted on a first come basis and must be complete to be accepted. Reservations will be placed in line based on the date and the time of receipt.

In the event that any participating Preferred Purchasers have the same receipt times, Seller may then randomly draw the names of those Preferred Purchasers to determine priority. This order will ultimately determine the order in which Preferred Purchasers have the opportunity to select a property when they are released for sale. The first in line will have first option to select and purchase any of the units that are released for sale. If none of these selections are suitable and a selection is not made, then the individual will move to the end of the line and may have, but is not guaranteed, a future selection based on their new sequential position and the availability of units for sale. If no selections are available or the Preferred Purchaser decides to withdraw, the reservation deposit will be returned, less a Thirty Dollar USD ($30.00) processing fee. Each individual with a reservation, in sequence, will have their choice until a phase is completed. When we move to the next phase (when released) we will follow the same system. If, after the above selection process there are units available in a particular phase that have not been selected by a Preferred Purchaser, the units will be offered to the general public.

When the reservation line is completed all available units will be offered for sale to the general public. Seller shall give Preferred Purchasers at least three (3) calendar days to make a selection. Seller may cease accepting reservations without notice at anytime, and may accept as many reservations as Seller deems appropriate, at its sole discretion, and the number of reservations may exceed the number of available units.

Accordingly, this Purchase Reservation does not guarantee that a Preferred Purchaser will be given an opportunity to purchase a unit. All incomplete Purchase Reservation forms will be returned.


3. Termination: Either party may terminate this Exclusive Priority Reservation at any time for any reason by delivering written notice to the other party. In such event, the Refundable Deposit shall be returned to Preferred Purchaser at the address below less the Thirty Dollar USD ($30.00) non-refundable processing fee.

4. Miscellaneous: This Purchase Reservation is not assignable by a Preferred Purchaser. Purchase Reservations delivered personally or sent by courier shall be deemed received on the date of receipt if such occurs prior to 5:00 p.m. (Florida time) on a business day and otherwise on the next following business day. Reservations sent by mail shall be deemed received upon receipt. Online reservations are deemed received when electronically transmitted. If, for any reason, funds from either type of Purchase Reservation are not available, the registration will not be valid. Seller will not accept more than two Purchase Reservations from any one household. This Purchase Reservation shall be governed by and enforced in accordance with the laws of the State of Florida.

This is not an offering for sale and nothing in this Purchase Reservation or any marketing materials shall be construed as an offering for sale. This Purchase Reservation is limited to the rights specifically provided herein and does not constitute an agreement, right, or obligation to purchase, or sell, a letter of intent or any similar instrument.
